1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between KAAKO Technology Inc. (“KAAKO”, “we”, “us”, or “our”) and all individuals or entities (“you”, “your”, or “Users”) who access or use our mobile applications, websites, and related online services (collectively, the “Services”).

These Terms apply to both:

KAAKO – User App, used by diners to search, book, and review restaurants; and
KAAKO – Restaurant Dashboard, used by restaurants and business partners (“Partners”) to manage listings, timeslots, and bookings.

By accessing or using any of our Services, you agree to be bound by these Terms, our Privacy Policy, and our separate Fair Use Policy.

These Terms incorporate and must be read together with KAAKO’s Fair Use Policy, which governs appropriate and acceptable behavior on all KAAKO platforms.
Violation of the Fair Use Policy may result in suspension or permanent termination of your account or business listing.

If you do not agree, you must not access or use our Services.

The Services also include user-generated content features (“UGC”), such as restaurant reviews, question-and-answer sections (“Q&A”), photo uploads, and submission of dining or deal information. By accessing these features, you understand and agree that any content you submit may be publicly displayed to other users and restaurant partners.

2. Eligibility

To use the Services, you must be at least 13 years of age or the legal age of majority in your jurisdiction, whichever is higher.
Users under 18 should review these Terms with a parent or guardian.

Restaurant Partners must be duly registered businesses authorized to operate in their respective jurisdictions.
By creating an account, you represent that the information you provide is accurate, complete, and current.

3. Account Registration and Security

To access certain features, you must register for a KAAKO account using a valid email or third-party authentication (Google or Apple).

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must promptly notify us of any unauthorized use or security breach.

KAAKO reserves the right to suspend or terminate accounts that violate these Terms or the Fair Use Policy.

4. Use of Services

You agree to use the Services solely for lawful purposes and in accordance with these Terms and our Fair Use Policy. Any misuse, fraudulent activity, or manipulation of time-slot listings, discount campaigns, or review features constitutes a violation of that policy.

You may not:

Access or use another user’s account;

Interfere with the operation of our systems or attempt to bypass security measures;

Use automated tools or scraping techniques; or

Misrepresent identity, business ownership, or affiliation.

KAAKO may monitor usage for compliance and investigate suspected misuse.

You acknowledge that KAAKO’s Services integrate with various third-party platforms and technologies, including but not limited to Google Firebase, Google Maps, Apple Sign-In, Google Sign-In, and other cloud or analytics providers.

These third-party services are subject to their own terms and privacy policies, and KAAKO is not responsible for their content, functionality, or availability.

4.1 User-Generated Content, Reviews, and Q&A

Users may submit reviews, photographs, deal information, questions, answers, and other forms of user-generated content (“UGC”).
By submitting UGC, you agree to the following:

You represent that your content is truthful, accurate, and based on personal experience.
You must not submit misleading, defamatory, harmful, discriminatory, or fraudulent content.
You must not post content on behalf of a business unless you are the verified owner or authorized representative.
You must not upload copyrighted material without permission.
You must not impersonate other individuals or misrepresent your identity or relationship to a restaurant.

KAAKO reserves the right, but is not obligated, to moderate, review, edit, or remove any UGC at its sole discretion for violations of these Terms or the Fair Use Policy.

4.2 Ownership and License of Submitted Content

By submitting UGC, you grant KAAKO a worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, display, publish, adapt, and distribute your content for the operation, improvement, and promotion of the Services.

5. Bookings, Discounts, and Transactions (User App)

Bookings made through the KAAKO App connect diners with participating restaurants that offer time-based dining discounts (“KAAKO Discounts”).

By confirming a discounted reservation, you agree to the following rules and conditions:

5.1 Platform Role and Restaurant Responsibility

Facilitator Only: KAAKO Technology Inc. (“KAAKO”) acts solely as a technology platform enabling restaurants (“Partners”) to publish, manage, and promote time-based discount offers.
Direct Agreement: Each booking forms a direct agreement between you (the diner) and the restaurant. KAAKO is not a party to the dining transaction and is not liable for food, service, or pricing matters.
Restaurant Control: Partners set their own discount percentages, seating quotas, menus, and applicable conditions. KAAKO strives to display accurate listings but does not guarantee availability, accuracy, or error-free content.

5.2 Eligibility and Booking Conditions

Discounts apply only to dine-in reservations made via the KAAKO App and redeemed during the booked time slot, unless otherwise specified in the App or by the restaurant.
A booking is confirmed only when you receive an in-app or email confirmation.
Late arrivals may result in loss of discount eligibility or cancellation at the restaurant’s discretion.
Each reservation has a maximum number of diners eligible for the discount. If your party size changes, update your booking in advance. Arriving with extra guests may void the discount or table.
Dining-time limits or minimum-spend requirements may apply; these will be shown in restaurant T&Cs.

5.3 User Responsibilities

Honest Bookings: Do not create duplicate or speculative reservations. Repeated no-shows or misuse may result in account suspension under the Fair Use Policy.
Inform Staff: Tell restaurant staff about your KAAKO booking and booking code before ordering so the discount can be applied.
Menu Exclusions: Discounts may not apply to set menus, beverages, or other excluded items. Please check the menu section or contact the restaurant directly for details.
Promotion Codes: If a KAAKO promotion or coupon code applies, only one code may be used per booking, and it must be entered before the reservation start time; codes entered after that time will not be applied. For full coupon conditions, see Section 7.1 (Coupon Terms).
Cancellations: Bookings may be cancelled or edited in the App no later than five (5) minutes before the reservation start time.
Cancellations made after that window may be treated as a no-show.
Payment: All payments for food and beverages are made directly to the restaurant at the end of your meal. Taxes, tips, and service charges are calculated on the pre-discount total, unless otherwise stated by the restaurant.

5.4 Limitations and Combinations

KAAKO Discounts cannot be combined with other promotions, discounts, coupons, or loyalty points unless clearly stated in the App.
Combining multiple reservations is at the restaurant’s discretion and may not be permitted for different time slots or discount levels.
Discounts are non-transferable, hold no cash value, and may not be exchanged, sold, or redeemed for cash.

5.5 Restaurant and Platform Rights

Restaurants may modify or withdraw discounts, enforce dining-time limits, or cancel bookings for no-shows or late arrivals.
KAAKO may suspend access to discount bookings for users or restaurants that engage in fraud, abuse, or repeated violations of these Terms or the Fair Use Policy.
In cases where a restaurant cannot honor a confirmed booking, KAAKO will assist with re-booking but bears no liability for restaurant cancellations or service issues.

5.6 Additional Terms and Updates

Certain restaurants may display specific terms and conditions (“restaurant T&Cs”) within the App or on their profile. By confirming a discounted booking, you agree to those restaurant T&Cs in addition to this Agreement and KAAKO’s Fair Use Policy.
Participating restaurants may edit, update, or modify their own restaurant T&Cs at any time without prior notice.
KAAKO may update these Terms at any time without prior notice. Continued use of the App signifies acceptance of the latest version.

6. Partner Obligations (Restaurant Dashboard)

Restaurant Partners agree to:

Provide accurate information (operating hours, menus, discounts, GST/PST registration numbers).

Maintain sufficient booking quotas and honour confirmed reservations.

Reimburse applicable discounts or coupon values according to KAAKO’s invoicing schedule.

Comply with health, safety, and licensing laws.

Partners are solely responsible for the customer experience at their premises.
KAAKO may suspend listings that receive consistent complaints or violate our Fair Use Policy.

7. Promotions, Coupons, and Referral Programs

7.1 Coupon Terms

Eligibility: Coupons are available only to registered KAAKO users who meet the conditions of each promotion
Use Limitations: Coupons may include expiry dates, minimum-spend requirements, participating-restaurant restrictions, or blackout periods.
Additional Terms: Each coupon may be accompanied by its own specific terms and conditions (“Coupon T&Cs”) displayed within the KAAKO App. These may include, but are not limited to, validity period, applicable restaurants, discount percentage, or redemption method.
By using or redeeming any coupon, you acknowledge and agree to all applicable Coupon T&Cs in addition to this Agreement and the Fair Use Policy.
Non-Transferability: Coupons cannot be sold, exchanged, or transferred and hold no cash value.
Stacking and Duplication: Unless expressly stated, multiple coupons or discounts may not be combined on the same booking.
Fraud and Abuse: Creating multiple accounts or otherwise manipulating bookings to exploit coupon benefits constitutes a violation of the Fair Use Policy and may result in forfeiture of rewards and account termination.
Modification and Termination: KAAKO may modify, suspend, or terminate any coupon offer at any time without prior notice.
Company-Funded Coupons: Where a discount is funded directly by KAAKO, the value is promotional only and not redeemable for cash.

7.2 Referral Program Terms

KAAKO may offer promotional campaigns, referral rewards, or company-funded coupons.

Participation in any promotion is optional and subject to the specific terms below and to any additional details provided in-app.

Eligibility: The Referral Program is open to registered KAAKO users who meet the criteria specified in each campaign.
Additional Terms: Each referral campaign may include its own specific terms and conditions (“Referral T&Cs”) displayed within the KAAKO App or campaign page. These may define reward amounts, expiration dates, eligibility requirements, or qualifying actions.
By participating in any referral campaign, you acknowledge and agree to all applicable Referral T&Cs in addition to this Agreement and the Fair Use Policy.
Earning Rewards: Referral rewards are earned only when a referred user completes the required qualifying action (for example, creating an account and making a valid booking).
Limits and Validity: Each referral code or link is personal to the user, may be used only for genuine new users, and may be subject to a cap on the number of eligible referrals.
Prohibited Conduct: Using fake accounts, self-referrals, paid referral networks, or automated scripts to generate sign-ups is prohibited under the Fair Use Policy and will result in forfeiture of all referral rewards.
Reward Distribution: Rewards are credited to eligible users’ accounts in the form and timing described in the specific referral campaign and are not convertible to cash unless expressly stated.
Modification and Termination: KAAKO reserves the right to modify, suspend, or terminate the Referral Program or any individual user’s participation at any time, with or without notice
Tax Responsibility: Users are solely responsible for any tax obligations that may arise from receiving referral rewards under applicable law.

8. Intellectual Property

All content, trademarks, graphics, logos, and software forming part of the Services are owned or licensed by KAAKO Technology Inc.

Users and Partners are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

No rights are granted to copy, modify, distribute, or create derivative works without prior written consent.

User-generated content submitted through the Services remains owned by the user who created it. However, by posting or submitting any UGC, you grant KAAKO the rights described in Section 4.2 to host, display, modify, and distribute such content as necessary for operating and improving the Services.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and safeguard personal information.

Please note that UGC, such as reviews, uploaded photos, Q&A submissions, and deal contributions may be publicly visible to other users and restaurant partners. Do not submit personal information or sensitive data within UGC.

By using our Services, you consent to the processing of your information as described therein.

10. Termination and Suspension

KAAKO may suspend or terminate access to the Services, in whole or in part, at any time and without prior notice if you:

Violate or are reasonably suspected of violating these Terms or our Fair Use Policy;

Engage in fraudulent, abusive, or unlawful activity, including manipulation of bookings, discounts, or review systems;

Misuse the platform, interfere with operations, or compromise the security or integrity of KAAKO’s systems; or

Fail to comply with any applicable law, regulation, or partner obligation.

Upon termination, your right to use the Services will cease immediately.

KAAKO reserves the right to remove any content, listing, UGC, Reviews, Q&A or account information associated with the terminated account.

Sections relating to ownership of intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

Repeated or serious violations of the Fair Use Policy may result in permanent removal of your account or restaurant listing from all KAAKO platforms.

11. Disclaimers

The Services may include integrations or links to third-party services such as Firebase, Google Maps, Google or Apple Sign-In, Stripe, Mailgun, and analytics tools.

These services are provided “as is” by their respective providers, and KAAKO disclaims any responsibility for errors, outages, or losses arising from their use.

KAAKO makes no guarantee regarding the availability, accuracy, or reliability of restaurant listings, discounts, or bookings.
Restaurants are independent third parties and not agents or employees of KAAKO.

KAAKO disclaims all liability for acts, omissions, or quality of service provided by any restaurant partner.

12. Limitation of Liability

To the maximum extent permitted by applicable law, KAAKO Technology Inc., its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Services.

In all cases, KAAKO’s total aggregate liability to you or to any third party for any claim, demand, loss, or cause of action shall not exceed CAD $0 (zero dollars), regardless of the form of action or the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise).

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages; in such cases, the above limitation shall apply to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless KAAKO Technology Inc., its affiliates, and employees from any claims, damages, liabilities, or expenses arising from your misuse of the Services, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada.

15. Changes to These Terms

We may modify these Terms at any time.

Material changes will be posted with an updated “Last Updated” date and, where appropriate, communicated by email or in-app notice.

Continued use of the Services after such changes constitutes acceptance of the revised Terms.
